These Terms and Conditions of Service (hereinafter, "T&C") regulate the contractual relationship between ZAYRO TECH LLC (hereinafter, "SweetRail" or "the Provider") and its clients (hereinafter, "the Client") who contract the software services offered through the SweetRail platform.
1. Object of the Service
SweetRail provides a Software as a Service (SaaS) platform designed for the optimization of logistics operations, delivery management, and real-time tracking (hereinafter, "the Service"). Specific functionalities, plans, and features are detailed in the commercial proposal or the plan contracted by the Client.
2. Registration and Access to the Service
To use the Service, the Client must register and create an account. The Client is responsible for providing truthful and updated information, as well as maintaining the confidentiality of their access credentials. The Client shall be solely responsible for all activity that occurs under their account.
3. Obligations of the Parties
Obligations of SweetRail:
- Provide the Service with due diligence and professionalism.
- Ensure the availability of the Service in accordance with the agreed service level agreements (SLA), if any.
- Implement technical and organizational security measures to protect the Client's data.
- Provide technical support under the terms defined in the contracted plan.
Obligations of the Client:
- Use the Service in accordance with the law, morals, public order, and these T&C.
- Make payment of the corresponding fees in due time and form.
- Not use the Service for illegal purposes or those that may damage the rights of third parties or the Provider itself.
- Be solely responsible for the legality, accuracy, and quality of the data introduced into the platform.
4. Price and Payment Conditions
The price of the Service shall be as established in the subscription plan chosen by the Client. Payments will be made periodically (monthly or annually) in advance. SweetRail reserves the right to modify the fees, notifying the Client reasonably in advance. Failure to pay may result in the suspension or cancellation of the Service.
5. Intellectual Property
SweetRail is the exclusive owner of all intellectual property rights over the platform, the software, its source code, design, and any other element that composes it. Contracting the Service grants the Client a non-exclusive, non-transferable, and limited license for the duration of the contract to use the platform according to these T&C.
The Client is the sole owner of the data and information they introduce into the platform (hereinafter, "Client Data").
6. Data Protection
The processing of personal data will be governed by the provisions of our Privacy Policy. When SweetRail processes personal data on behalf of the Client, it will act as "Data Processor", and the Client as "Data Controller". This relationship will be regulated by a Data Processing Agreement which, in the case of clients subject to the European GDPR, will include the Standard Contractual Clauses to guarantee international data transfers.
7. Confidentiality
Both parties commit to maintaining the strictest confidentiality regarding all information they have access to by virtue of this contract, not being able to disclose it to third parties without the prior written consent of the other party, except by legal obligation.
8. Limitation of Liability
SweetRail's total liability for any claim arising from the provision of the Service, whether contractual or non-contractual, shall be limited to the total amount paid by the Client in the six (6) months prior to the event giving rise to the claim. In no case shall SweetRail be liable for indirect damages, loss of profit, loss of data, or business interruption.
9. Duration and Termination
The contract will have the duration of the chosen subscription plan (monthly or annually), automatically renewing for equal periods, unless one of the parties notifies its intention not to renew at least thirty (30) days prior to the expiration date. Either party may terminate the contract in the event of a serious breach of the obligations of the other party.
10. Applicable Law and Jurisdiction
These T&C shall be interpreted and governed in accordance with the laws of the state of Florida, United States. For any controversy, the parties submit to the exclusive jurisdiction of the competent courts of Miami-Dade, Florida.
